Senior Legal Counsel, Global Technology & Procurement
The Senior Legal Counsel, Global Technology & Procurement role primarily supports the Global Technology and Procurement organizations with legal advice and with the drafting, review and negotiation of a wide variety of complex, global commercial agreements with third party suppliers, including SaaS, PaaS software licensing, hardware, IT/consulting services, data center, telecommunications and outsourcing. This position will also provide contracting support to the Marketing Events team. The position will be based in Minneapolis, MN, Dallas, TX, or Toronto, ON.
About the Role
In this opportunity as Senior Legal Counsel, Global Technology & Procurement, you will:
Provide legal advice and counsel to members of the Technology and Procurement organizations related to complex, commercial agreements (with a focus on technology) on a global basis Draft, review and negotiate complex, global commercial agreements, including master agreements, technology acquisition and services engagements addenda, statements of work, work orders, service and maintenance schedules, amendments, settlements, NDAs, and related project documentationCoordinate with various specialists and attorneys throughout the General Counsel Office on advice and project inputsPartner with Information Security, Privacy, and Compliance teams on vendor risk assessmentsSupport the Marketing Events team on a variety of contract-related issues, and develop and maintain templates and playbook Assist with project management of certain commercial projectsAssist with compliance and risk management initiatives and dispute resolutionAssist with the preparation and updating of various forms, templates, playbooks and guidelines utilized by the General Counsel Office with the Technology and Procurement organizationsManage and oversee certain legal matters handled by outside counselStay up-to-date on applicable legal issues, trends and developments, including AIDevelop and deliver training to client groups on relevant topics and issuesAbout You
You're a fit for the role of Senior Legal Counsel, Global Technology & Procurement if you have:
JD with a minimum of 3 years of relevant experience, including in a law firm or in-house roleActive, good standing state bar admission in any U.S. state or Canadian provinceAbility to provide strategic advice and input on complex, global commercial arrangements including software-as-a-service (SaaS), platform as a service (PaaS), outsourcing and managed services, as well as dispute resolutionExcellent negotiation and drafting skillsExcellent written/verbal communication and organizational skillsProactive approach, with the ability to think strategically and creatively in identifying and resolving legal issues Ability to successfully balance the company’s commercial interests and objectives with identified legal and business risksAbility to work well as a cross-functional team member and build rapport and trust with both internal stakeholders and external suppliersAbility to manage multiple projects at once, prioritize deadlines and projects effectively and work independently in a fast-paced environmentFlexibility, versatility and ability to adapt to changing business priorities and strategiesExperience with technology utilized in the practice of law, including AI toolsExperience with intellectual property (IP) issues that relate to Technology and Procurement agreements#LI-JK3

The base compensation range varies across locations.

For any eligible US locations, unless otherwise noted, the base compensation range for this role is $119,700 USD - $222,300 USD.
For Ontario, Canada, the base compensation range for this role is $126,000 CAD - $176,000 CAD.

Base pay is positioned within the range based on several factors including an individual’s knowledge, skills and experience with consideration given to internal equity. Base pay is one part of a comprehensive Total Reward program which also includes flexible and supportive benefits and other wellbeing programs.
This role may also be eligible for an Annual Bonus based on a combination of enterprise and individual performance.
