Senior Counsel, Senior AVP-Asset Based Lending


About this role:

Wells Fargo’s Legal Department is seeking an experienced attorney to support the Commercial Banking division’s Asset‑Based Lending business.

The attorney will support ABL transactions and provide strategic legal guidance on complex secured‑lending matters to help manage risk.


In this role, you will:

Lead or participate in moderately complex initiatives and deliverables and contribute to large-scale planningProvide legal advice and representation of the Company in highly complex litigation, negotiations, settlement discussions, and claims related legal issuesReview and analyze moderately complex challenges that require an in-depth evaluation of variable factorsProvide guidance to internal clients on legal matters to assist with legal risk assessment, planning and policy decisions, claims against the Company, probability of loss, and develop cost-effective risk mitigation strategiesDraft complex legal documents, review and negotiate documents prepared by outside counselIndependently resolve moderately complex issues and lead team to meet deliverablesIdentify and analyze complex legal issues, develop conclusions, and make recommendations for issue resolutionDevelop the strategic direction for certain claims functions and management of related policies, procedures, and controls to mitigate riskEducate, train, and supervise less experienced attorneys within the Legal departmentCollaborate with peers, colleagues, and mid-level managers to resolve issues and achieve goalsLead projects, teams, or serve as a mentor for less experienced staffWork directly with business clients and develop an in-depth understanding of business unit activities and productsPartner with business leaders and management of other corporate departments to develop and implement risk management programs


Required Qualifications:

4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, educationActive State Bar membership or the equivalent in a country outside the United States


Desired Qualifications:

Experience as a practicing attorney in private practice or an in‑house legal team providing strategic legal support to Asset‑Based Lending businessesProven ability to draft, review, and negotiate complex asset‑based lending loan agreements, including both syndicated and bilateral facilitiesStrong knowledge of secured financing structures, UCC Article 9 concepts, and a variety of collateral types common to ABL transactionsExperience with key ABL‑related products and components such as letters of credit, cash‑management arrangements, and multicurrency structures.Understanding of intercreditor relationships and priority issues, particularly in multi‑lender or multi‑tranche financing environmentsFamiliarity with bankruptcy and restructuring concepts relevant to secured lending, including borrower distress scenarios and collateral recovery considerations.Experience working with outside counsel, bankruptcy counsel and other subject matter experts on issues that ariseAbility to work effectively in a complex environment with a high degree of collaboration

Pay Range
 

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location. Employees may also be eligible for incentive opportunities.

$139,000.00 - $260,000.00
