Job Summary
Senior managing attorney reporting to the Area General Counsel with primary responsibility for handling the drafting, preparation and negotiation of contracts for home office functions; primary legal support for the Marketing, Information Technology and Procurement functions; and such other tasks as assigned.
Primary Job Responsibilities
+ The Senior Corporate Counsel (SCC) will serve as the primary legal partner supporting the Company’s Marketing, Information Technology, and Procurement functions – providing strategic, business focused legal guidance across a broad spectrum of commercial matters.
+ The SCC will combine deep proficiency in commercial contract drafting and negotiation with sound business judgment and strong understanding of functional objectives to deliver timely, practical legal solutions.
+ Draft, review, and negotiate a wide variety of commercial agreements, including marketing services agreements, technology licensing and SaaS contracts, software development and hosting agreements, and purchasing and supply chain contracts.
+ Provide legal support on trademark clearance, registration, enforcement, and portfolio management; advise on copyright issues, licensing, and other intellectual property matters affecting marketing and technology initiatives.
+ Partner with Marketing to ensure compliance with advertising, consumer protection, promotional, and digital marketing laws and regulations, including proper use of trademarks and brand assets.
+ Support the Information Technology team on matters involving information technology law, data governance, software implementation projects, and vendor management.
+ Advise Procurement on strategic sourcing, vendor negotiations, risk allocation, and contractual structures to support company objectives while mitigating legal and commercial risks.
+ Provide guidance on data privacy and cybersecurity matters, including incident response, regulatory considerations, and best practices for handling personal and sensitive information (experience a plus, not required).
+ Assist with corporate finance, securities, and corporate governance matters as needed (experience in these areas is beneficial but not required).
+ Collaborate with cross functional teams to identify legal risks and develop practical structures, templates, and processes to streamline commercial transactions.
+ Monitor legal and regulatory developments in marketing, intellectual property, IT, and data governance to help the Company adapt policies, processes, and contract templates.
+ Support internal training efforts for business partners on key legal topics including contract principles, IP usage, data handling, and compliance requirements.
+ Build strong relationships with business stakeholders by providing clear, actionable legal advice aligned with operational goals.
+ Manage outside counsel relationships effectively, including oversight of trademark, IP, IT, and specialized regulatory matters, and ensure cost effective, high quality representation.
+ Assist in developing and updating internal policies, procedures, and standard form agreements to reflect legal developments and business needs.

Required Education/Experience
+ Minimum Bachelor’s Degree and Juris Doctor
+ Admission to State Bar and in compliance with continuing education requirements
+ Minimum of 5–7 years of relevant legal experience, with a strong emphasis on drafting, reviewing, and negotiating complex commercial contracts
+ Demonstrated experience supporting Marketing, Information Technology, Procurement, or similarly structured corporate functions within an in house legal department or law firm
+ Proficiency in intellectual property matters, including trademarks, copyright, and licensing; experience managing or supporting trademark portfolios is strongly preferred
+ Experience advising on information technology law, including software licensing, SaaS agreements, technology development, data governance, and vendor management
+ Familiarity with advertising law, consumer protection requirements, digital marketing regulations, and brand related compliance
+ Exposure to data privacy and cybersecurity principles, regulatory frameworks, and incident response considerations (deep experience beneficial but not required)
+ Experience with corporate finance, securities, or corporate governance matters is a plus
+ Ability to translate complex legal issues into practical, actionable advice aligned with business objectives
+ Strong judgment, excellent communication skills, and the ability to work collaboratively with cross functional teams at all levels of the organization
+ Experience managing outside counsel efficiently, including oversight of specialized IP, IT, or regulatory engagements
+ Proven ability to handle multiple priorities in a fast-paced environment while maintaining attention to detail and delivering high quality work.
