Our dedicated M&A professionals apply deep knowledge and decades of experience offering services ranging from M&A strategy to financial, operational, IT and commercial due diligence and value qualification, to structuring advice and financing options. One part of the overall process mentioned above is IT Diligence. The Deloitte IT diligence team delivers successful, informed business decisions to clients by identifying the key IT risks and opportunities associated with their most challenging M&A transactions. Work You’ll Do

As an IT Diligence Senior Manager, you will lead multiple client engagements that help refine the client’s IT strategy with a focus on inorganic growth by conducting operational diligence, divestiture support and post-merger support for clients as they assess JVs, Partnerships, Acquisitions, or potential sales. Senior Managers are self-starters who are comfortable in an energetic and dynamic "roll-up-your-sleeves" culture. Senior Manager level responsibilities include but are not limited to:

Direct teams facilitating M&A IT diligence discussions with clients and target companies across a broad set of industries with a focus on identifying risks and value creation opportunities across IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; and demonstrate a keen understanding of how technology enables business strategy and key business capabilitiesFacilitate teams identifying gaps and risk associated with IT enablement, IT maturity and IT technical debt and provide recommendations on how to mitigate the risks in the M&A contextDemonstrate a keen understanding of IT costs and financials and support key team members to quickly conduct cost transformation and cost estimation analysis through a combination of 3rd party benchmark and proprietary data and toolsProvide direction and focus areas for teams to assess technology architecture from data, infrastructure and integration standpoint to provide comments on reliability and scalability of IT environmentAbsorb multiple streams of information, quickly synthesize data, and draw directionally correct conclusions about the assessed target company, and direct teams to organize supporting analysis and quantify/qualify those conclusionsDirect the development of key diligence artifacts including agendas, data request lists, interview guides, high-level roadmaps, one time and recurring cost analysis models, benchmark analysis, synergy analysis, contract analysis, IT-related transition service agreement schedules, high-level integration, divestiture and/or standup roadmaps, client deliverables and other related artifactsServe as the engagement delivery lead and contact for client executives during the engagement, while managing the resource(s) responsible for day-to-day management of projectsIdentify and collaborate with appropriate subject matter advisors to best serve clients with excellenceProven ability to work effectively as the leader of a team and as an individualLead engagement planning and budgeting; mobilize and manage engagement teams; define deliverable structure and content; facilitate buy-in of proposed solutions from top management levels at the client; direct on-time, quality delivery of work products; manage engagement economics; manage engagement riskParticipate in Business Development, develop and maintain contact with top decision makers at key clients, organize and lead pursuit teams, participate and lead aspects of the proposal development process, contribute to the development of proposal pricing strategiesDevelop practical solutions and methodologies, develop "thoughtware" and "point- of-view" documents, participate in public speaking events, get published in industry periodicalsPerform the role of counselor and coach, provide input and guidance into the staffing process, actively participate in staff recruitment and retention activities, provide leadership and support for delivery teams and staff in local officesImproving internal processes, and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminenceYou will be expected to produce and oversee the quality of deliverables and effectively manage the team to ensure exceptional performance

The Team
Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

Within M&A strategy and transaction diligence, our IT diligence specialists focus on the value creation potential of each transaction and its inherent operational risks. The Deloitte IT diligence practice executes across several services through evaluating technology systems and operations of companies, identifying potential risks and helping ensure IT is a successful enabler for an M&A transaction. Each service has a focus across an organization’s people, process, applications and infrastructure, and incorporates unique industry considerations. IT diligence also helps our clients by reviewing proprietary technology products, cyber security, initial carve out/standup requirements and initial integration/separation planning requirements. This is done through an integrated platform which more clearly checks the alignment of the deal macros with our clients’ investment theses, focuses on the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective.

Qualifications:

Required:

At least 8+ years of technology experience in the majority of the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; with a keen understanding of how technology enables business strategyAt least 8 years of experience synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications as part of an overall concrete assessment of the subject companyA candidate must have 8+ years of IT M&A due diligence or M&A IT Service Delivery Experience in the following areas:Participating in setting engagement objectives and scopeFraming issues and developing high level approaches to resolve the sameDeveloping work plans for components of engagements, coordinate activities between work streams and identify changes in scopeDesigning deliverable content that includes strong written and communication skillsManaging teams to precisely reflect the engagement contract and client needs and strive to improve deliverable quality through verification and validation of resultsPartnering with senior executives to define how they employ M&A – in alignment with their corporate strategy – to drive profitable growth and enable them to compete effectively in their industryManaging service excellence by identifying key client business issues, determining client needs by supplementing the standard assessment techniques and tools with innovative approaches, evaluating and validating analysis and developing recommendations for the client in the context of the overall engagementManaging day-to-day interactions with executive clients and sponsors; develop and maintain contact with top decision makers at key clientsParticipating and leading aspects of the proposal development process; contributing to the development of proposal pricing strategiesIdentifying and developing add-on sales opportunitiesExperience in the delivery of at least 20+ IT diligence projects for strategic or financial clientsBachelor’s degree and 8+ years consulting and/or industry experience; alternatively, an MBA with 6+ years relevant work experienceLimited immigration sponsorship may be availableAbility to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

Preferred:

MBA or technology-related advanced degree with 6+ years relevant work experience with at least 5+ years of consulting experience, 2+ years of M&A consulting, and at least 6+ years of practical IT operational experienceExperience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.Experience leading pre- and post- merger M&A IT activitiesLead responsibility for the delivery of at least 40+ IT diligence projects for strategic or financial clients or other similar experience from other industry or consulting roles

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $175,300 to $322,900.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
