Job Description

What is the opportunity?

As Managing Counsel and Lead for the Subsidiary Governance Office (“SGO”) UK and Europe, you will have oversight and accountability for the corporate governance of all subsidiaries of Royal Bank of Canada in the United Kingdom (“UK”), Channel Islands (“CI”), Ireland, Europe and other designated operating jurisdictions (the “Designated Jurisdictions”).  You will provide expertise regarding corporate secretarial, and governance matters and will ensure a consistent approach to corporate governance is applied to all designated subsidiaries aligned to local legal and regulatory requirements.   You will also be a key player in strategic priorities in the Designated Jurisdictions that have a subsidiary impact, and you will be responsible for integrating and embedding SGO strategic objectives in the regions.   

This role is ideal for a qualified lawyer, or professional with a law degree, with strong experience as a corporate secretary in a highly regulated environment, a history of managing and building successful teams, and the ability to work effectively across teams within a fast paced and dynamic environment.

This role requires 4 days in the office.

What will you do?

Lead the SGO teams in the Designated Jurisdictions in the provision of best in class corporate governance support to all designated subsidiary boards and directors, and monitor legal and regulatory developments relating to corporate governance in the Designated Jurisdictions.             Serve as the Corporate Secretary for key regional subsidiary boards, support board activities for the designated subsidiaries (including planning and preparation of board and committee meetings) and provide company law, corporate governance and regulatory advice and support to the officers and board members of designated subsidiaries and senior management.Support independent directors serving on the designated subsidiary boards with respect to the requirements of any regulatory senior manager regime in the Designated Jurisdictions.Responsible for the management of regulatory compliance risk and oversee corporate and regulatory filings in the regions are completed within prescribed timelines.  Support Assistant General Counsel, SGO, in the development and implementation of enterprise-wide corporate governance policies. Oversee the maintenance of the corporate records for the subsidiaries in the Designated Jurisdictions, ensuring (a) the integrity of such records; and (b) that all  governance data for the designated subsidiaries is properly maintained in GEMS. Supervise the creation, dissolution and reorganization of subsidiaries in the Designated Jurisdictions and intra-group transactions in such regions.Manage and provide coaching to team members.

Must-have

Must be a qualified lawyer or have a law degree with corporate governance and corporate secretarial experienceExperience as a people manager with a track record for building successful teamsIn-depth knowledge of applicable corporate laws/regulations, ideally in the banking or financial services industriesExcellent communication skills, written and oralHighly organized and able to prioritize and manage multiple tasks with challenging deadlines in a fast paced environmentHave solid computer skills and ability to adapt and apply new technologiesAct with discretion and have a sharp attention to detail and accuracy  

Nice-to-have

Experience in the banking or financial services industryDesignation as a corporate secretary (i.e. Fellow of Chartered Governance Institute of UK and Ireland)
