Mergers and Acquisitions IT Diligence Senior Consultant

Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact.

Work You’ll Do

Senior Consultants in the IT Diligence team assist in evaluating technology systems and operations of a company, identifying potential risks and helping ensure IT is a successful enabler for a pending M&A transaction. They will deliver complex client engagements that help refine the client’s IT strategy with a focus on inorganic growth by conducting IT or software diligence, divestiture support and post-merger support for clients as they assess JVs, Partnerships, Acquisitions, or potential sales. As an IT Diligence Senior Consultant, you will serve as a trusted advisor to corporate and private equity clients. Deloitte’s Senior Consultants are self-starters who are comfortable in an energetic and dynamic "roll-up-your-sleeves" culture. Senior Consultant level responsibilities include but are not limited to:

Synthesize overall technology strategy by analyzing a wide variety of solutions, selecting the most relevant tools/techniques to meet specific client requirements such as business case, pricing, or complex financial and technical analysis, and interpreting and reporting on outputsProven ability to be resourceful with certain subject matter areas that arise during diligence activitiesResponsiveness including the ability to respond to emails / calls within a reasonable turnaround based on client situation and needsParticipate in setting engagement objectives and scopeDevelop work plans for components of engagements, coordinate activities between work streams and identify changes in scopeDesign deliverable content to precisely reflect the engagement contract and client needs and strive to improve deliverable quality through verification and validation of resultsValuate technology systems and operations of a companyIdentify potential risksHelp ensure IT or specific software is a successful enabler for a transaction

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

Qualifications:

Required:

At least 4 years of technology experience in the majority of the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; with a keen understanding of how technology enables business strategyAt least 4 years of experience synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications as part of an overall concrete assessment of the subject companyAt least 2 years of experience presenting a coherent perspective in verbal, written and analytical formats, as part of a broader M&A diligence effortCompletion and delivery of at least 10 IT due diligence or product tech due diligence projects for strategic or financial clientsBachelor’s degree and 4+ years consulting and/or industry experience; alternatively, an MBA with 2+ years relevant work experienceMust be legally authorized to work in the United States without the need for employer sponsorship, now or at any time in the futureAbility to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

Preferred:

MBA or technology-related advanced degree with 4+ years relevant work experience with at least 3+ years of consulting experience, 2+ years of M&A consulting, and at least 4+ years of practical IT operational experienceStrong written and communication skills, including designing deliverable contentAbility to work towards meeting tight timelines as neededAbility to work independently and manage multiple task assignmentsCollaborating with practitioners in other practices and businessesExperience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.Experience leading pre- and post- merger M&A IT activitiesLead responsibility for the delivery of at least 20+ IT diligence projects for strategic or financial clients or other similar experience from other industry or consulting roles

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $118,700 to $218,600.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
