M&A Information Technology (IT) Integration & Divestitures (I&D) is part of Deloitte’s M&A Offering, within our broader Strategy & Transactions practice. Our team executes M&A IT transactions to achieve seamless transitions and develop maximum value for our clients, with specialists focused on each industry we serve. Deloitte has dedicated M&A Life Sciences (LS) professionals who are devoted to M&A across the entire deal lifecycle. The LS M&A IT professionals assist organizations to respond rapidly to any emerging opportunity, enhance their returns, and help them accelerate their transformation. Work You’ll Do

Deloitte’s M&A Life Sciences (LS) team helps clients differentiate their business through innovation, employment of data, and delivery of products and services that embrace new care models. They advise both corporate and private equity buyers with M&A transactions across the full range of life sciences sectors. M&A IT advises, implements, and delivers transformative solutions to those LS clients to optimize their IT activities due to a pending/completed transaction, restructuring and strategic cost transformation event. The team provides subject matter knowledge across critical components of IT (e.g., infrastructure, applications, IT operations, IT finances and expenses, Active Directory, end-user computing, messaging, enterprise architecture, testing). Our practitioners perform business process analysis, mapping, and design for M&A projects focused on an IT workstream including IT infrastructure separation, data center migration, application integration/separation/rationalization, or IT synergies/cost reduction. As part of the M&A IT team, Senior Managers lead large, complex engagements that identify, design, and administer creative business and technology solutions. Senior Managers are expected to contribute to the firm’s growth and development in a variety of ways:

Execute on multiple M&A IT projects concurrently, working with Manager-level personnel to ensure excellence in project workPartner with senior executives to define how they employ M&A – in alignment with their corporate strategy – to drive profitable growth and enable them to compete effectively in their industryProvide service excellence by identifying key client business issues, determining client needs by supplementing the standard assessment techniques and tools with innovative approaches, evaluating and validating analysis and developing recommendations for the client in the context of the overall engagementPerform the role of counselor and coach, provide input and guidance into the staffing process, actively participate in staff recruitment and retention activities, provide leadership and support for delivery teams and staff in local officesMentor and develop staff through informal coaching and day-to-day project interactions. This includes working with global IT teams as applicable and may require work to be balanced across varying/multiple time zones.Improve internal processes, and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminence. Develop "point- of-view" documents, participate in public speaking events, get published in industry periodicals.

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

When M&A deals reach fruition, the details need to line up. Deloitte's M&A I&D specialists can assist with deal closing, Integration and divestiture strategy and governance, integration and divestiture accounting and reporting services, developing and executing a Day 1 implementation plan, and addressing longer-term integration needs to create the future-state organization our clients envisioned. The LS M&A IT team focuses on those integration & divestiture activities particular to the information technology function within the biopharma, generics and biosimilars, MedTech, and medical wholesale and distribution areas. The scope of their work may include end-state system architecture; application rationalization; system or data migration. This team helps clients refocus their IT capabilities and identify their optimal Transaction and Transformation strategies. As the Next-Gen provider of M&A services, M&A IT uses Delivery Innovation, Cloud and Flexible Compute Services to enhance every aspect of IT within the M&A landscape.

Qualifications:

Required:

A candidate must have 8+ years of M&A IT or M&A IT service delivery experience in the Life Sciences industry sector in the following areas:Setting, leading and delivering engagement objectives and scopeDeveloping work plans for components of engagements, coordinating activities between work streams and identifying changes in scopeDesigning deliverable content to precisely reflect the engagement contract and client needsManaging cross-functional teams to deliver M&A engagements across all of phases of the M&A lifecycle including due-diligence, pre-close, and post-merger integrationProviding corporate and private equity buyers with a broad continuum of advisory integration and divestiture program management services to support mergers, acquisitions, carve-outs, investment and financing structures, disposition alternatives and post-transaction activitiesproviding industry insight and analytical support using data mining, pattern matching, data visualization, and predictive modelling tools to produce analysis and algorithms that enables pre-deal and post-deal integration, divestiture, and major restructuring/cost transformation activities to achieve/exceed deal value, synergy targets, or strategic cost takeout objectivesBusiness Development by developing and maintaining contact with top decision makers at key clients, as well as leading and delivering aspects of the proposal development process, contributing to the development of proposal pricing strategiesIntegration, divestiture and/or joint venture standup execution8+ years of experience in one area of Information Technology providing depth in that areaBachelor’s degree and 8+ years consulting and/or industry experience; alternatively, an MBA with 6+ years relevant work experienceLimited immigration sponsorship may be availableAbility to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $175,300 to $322,900.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
