Lead Capital Markets Document Negotiator - VP

Commercial Real Estate (CRE) provides a fully integrated platform of banking, financing, and capital markets solutions to commercial real estate clients including financial sponsors, institutional investors and asset managers, regional developers, and public and private corporations.

About this role:

Wells Fargo is seeking a CRE Lead Transaction Manager - VP (Lead Capital Markets Document Negotiator) to assist the CLI Affordable and Specialized Finance (“ASF”) Transaction Management Team, and to assume end-to-end accountability of transaction execution and success by focusing on documentation and deal management for ASF transactions.

In this role, you will:

Assist with direct the administration of policies and procedures which govern the documentation and transaction closing process for Community Lending and Investment transactions, including New Markets Tax Credit and Low-Income Housing Tax Credit transactions.

Provide strategic vision and direction to ensure final negotiated agreements are documented accurately and adhere to corporate policies and procedures.

Interpret policy when working with legal, credit and the relevant business.

Identify and mitigate business and legal risks within compliance requirements.

Interpret policies, procedures and compliance requirements and thoughtfully escalate issues to senior management.

Advise management of industry trends or emerging issues based on recently negotiated transactions

Collaborate and influence professionals at all levels including senior management to drive successful outcomes and resolve complex issues.

Identify and recommend process improvements to strengthen execution, improve efficiency and standard documentation across the CLI platform.

Lead a team to achieve objectives.


Required Qualifications:

5+ years of Capital Markets Document Negotiation experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education


Desired Qualifications:

Experience closing LIHTC, affordable housing, and New Markets Tax Credit (NMTC) transactions, with responsibility for full end‑to‑end deal execution.

Proven ability to negotiate complex capital markets, debt, and equity documentation, including credit agreements, partnership agreements, and closing packages for CLI transactions. 

Knowledge of lending products, loan lifecycles, funding mechanics, deal structures, and funds flows, with direct deal‑team experience.

Execution-focused mindset with the ability to prioritize effectively, resolve issues and perform in a fast-paced, deadline-driven environment with a willingness to work longer hours as deal flow dictates.

Process and execution focused, with experience partnering with clients to collect and review loan documentation in preparation for large or complex closings, while building strong internal and external relationships.

Effective collaborator with strong communication, analytical skills, time management and attention to detail, able to work seamlessly across teams and senior leadership.

Excellent communication, relationship‑management, and project‑management skills.

Demonstrated openness to feedback and attention to detail to support continuous refinement of documentation and processes.
