Wells Fargo Bank Securities, LLC seeks an **Investment Banking Associate (Multiple Positions Available)** in New York, NY.
**Job Role and Responsibility: **
Lead financial analysis and valuation workstream by building detailed financial modeling through knowledge of accounting and financial statement analysis - types of valuation models and analysis include but not limited to operating models, merger models, discounted cash flow analyses, leveraged buyout analyses, accretion/dilution, sum of parts, public company trading comparables and M&A precedent transaction comparables. Prepare client-facing materials such as board presentations, management presentations, pitch decks, etc. that guide key decision making. Develop strategic rationale and investment thesis by conducting deep-dive company and industry research, competitive benchmarking, and market trend analysis. Interaction with clients both domestically and internationally to holistically understanding operations and business practices of these clients. Conduct detailed due diligence on behalf of clients and in preparation for creating marketing materials for distribution to potential buyers as well as for fairness opinions. Scenario Analysis for potential transaction structures and resulting impact on public or private company financials. Project management for various projects involving external and internal stakeholders across the institution as well as with clients. Projects include both sellside, buyside, activism/defense, valuation, special committee assignments and fairness opinions. Training incoming junior talent via partnerships and staffing to help train and develop skillsets. Oversee internal teams and junior bankers, providing direction and quality control over deliverables under tight timelines and high-pressure environments. **Required Qualifications: **
Bachelor's degree in Finance, Accounting, Business Administration, Mathematics, Statistics, or related field. Position requires 3 of years of experience in the job offered or in a related position in the investment banking field.
Specific skills required: · Deep understanding of corporate finance, accounting, and economics principles and their applicability across industries; · Ability to create complex financial models for multi-party transactions and analyze various ownership structures and financial scenarios and their impact on investment returns; types of valuation models and analysis include but not limited to operating models, merger models, discounted cash flow analyses, leveraged buyout analyses, accretion/dilution, sum of parts, public company trading comparables and M&A precedent transaction comparables; · Ability to analyze public and private companies' financial statements - understand drivers for revenue, operating margins, profitability and corporate taxes and effectively communicate corporate strategies and growth prospects to potential buyers; · Demonstrate well-developed knowledge of the entire suite of M&A products and services including buysides, sellsides, carve-outs, spin offs, fairness opinions, special committee assignments and activism & defense; Knowledge of analytics required in each process as well as the overall project management; · Assist or drive the delivery of full range of M&A products and services to clients at the executive management level, managing client relationships, and executing mandated assignments; · Ability to lead junior staff and manage several simultaneous transactions and projects at once and to mentor and train junior bankers in acquiring the technical skills needed for success; · Ability to craft strategic rationale for transactions, including evaluating industry consolidation trends, growth opportunities, and competitive positioning across all industries; · Advanced knowledge of the following tools and technologies: Excel, PowerPoint, Bloomberg, FactSet, Refinitiv, AlphaSense, MergerMarket, and deal management platforms like Salesforce, Datasite, and Intralinks.
