Global Investment Banking – Corporate Governance & Sustainable Solutions – Analyst

Description 

We are looking for a highly motivated individual to join a dynamic team and contribute to the Corporate Governance & Sustainable Solutions advisory practice within J.P. Morgan’s Investment Bank as part of the wider Corporate Advisory function.

The Corporate Governance & Sustainable Solutions team is a specialist group of investment bankers dedicated to advising J.P. Morgan’s clients on strategic corporate governance and broader board- and sustainability-related matters and is a vital component of the Investment Banking advisory franchise. 

The team plays a crucial role in supporting corporations, financial sponsors and investors  in the broader governance and sustainability-related aspects of capital markets (e.g. IPO, spin-offs, debt issuance), private investments and M&A transactions, and in shareholder activism.

The ideal candidate combines strong analytical skills with a deep understanding of governance trends, shareholder expectations, and capital-markets dynamics. This is a high-visibility role with significant internal and external stakeholder exposure.

Job responsibilities 

Develop proprietary knowledge and insights into strategic governance issues in M&A transactions, equity issuance, Board representation and other corporate actions, enabling robust advisory supportProactively analyze Corporate Governance related regulation and practice trends by market regulators and investors in key markets, in particular Japan, Australia, Hong Kong, Mainland China, Singapore, India and KoreaProactively analyze public-market information and news flow around the J.P. Morgan client coverage universe, translating complex data into concise, digestible formats such as shareholder-base breakdowns, management compensation and performance incentive structure, and board vulnerability analysesPossess and continuously deepen market expertise in APAC extraordinary and ordinary situations, shareholder engagement practices, governance best practices, and proxy advisory guidelines, and articulate these insights clearly to internal and external stakeholdersLeverage J.P. Morgan’s global platform by collaborating with industry coverage teams and product specialists in debt, equity capital markets and corporate finance advisory, work with the Director Advisory and Shareholder Engagement & M&A Capital Market Team  (SEMAC) teams, and synthesizing diverse inputs into coherent findings and messaging for deal teams and senior client management

Required qualifications, capabilities and skills 

Degree in Banking, Finance, Sustainability or any related field from a reputable institution.Minimum 1 year experience in investment banking, governance advisory, proxy advisory, shareholder engagement, law or a related fieldStrong interest in corporate governance, board dynamics, and shareholder expectationsStrong understanding of corporate governance codes, stewardship practices, and proxy-advisory methodologiesAbility to interpret complex shareholder-base data and communicate insights clearly to senior audiencesExcellent analytical skills and familiarity with event-driven and activism frameworks Exceptional written and verbal communication skills, with experience preparing board-level materialsMaturity, discretion, and the ability to operate in confidential, high-pressure situationsExcellent verbal and written (including PowerPoint) communication to present complex ideas plainly and succinctly, and project management skillsProficient interpersonal skills and multicultural awareness and sensitivity, including the ability to work collaboratively in a team and proactively cultivate relationships with a diverse range of internal and external partnersEntrepreneurial spirit and comfort with ambiguity. Self-starter, curious, and good at researching new topics

Preferred qualifications, capabilities and skills 

In-depth understanding of investor behavior around key corporate events and of investment banking productsExperience collaborating with advisory and product teams (M&A, ECM, legal, investor relations) and in dealing with clients and other transactional advisersOther qualifications such as CFA or law degree are highly relevantPreferred Chinese (Mandarin) and/or Japanese written and spoken language skills to liaise with Chinese or Japanese speaking clientsExperience in financing sovereign energy transition policies and corporate sustainability initiatives
