Job Description:

The Director of Broker-Dealer Regulatory Reporting is responsible for overseeing all U.S. regulatory financial reporting and capital compliance for the broker-dealer. This role ensures accurate, timely, and compliant filings under SEC and FINRA rules, with primary responsibility for SEC Rules 15c3-1 (Net Capital) and 15c3-3 (Customer Protection Rule). The Director serves as a key subject-matter expert and liaison with regulators, auditors, and internal stakeholders across Finance, Operations and Compliance.

Key Responsibilities

Regulatory Capital & Customer Protection

Own and oversee compliance with SEC Rule 15c3-1 (Net Capital), including daily net capital computations, early warning thresholds, stress scenarios, and regulatory capital planning.

Own and oversee compliance with SEC Rule 15c3-3, including customer reserve formula calculations, possession-or-control requirements, account classifications, and exemption analyses (e.g., paragraph 74/78, k(2)(ii)).

Review and approve reserve computations, special reserve bank account activity, and related reconciliations.

Assess the regulatory impact of new products, business initiatives, and operational changes.

Lead, mentor and develop a team of Regulatory Reporting junior staff members.

Regulatory Filings & Reporting

Oversee preparation, review, and submission of all required regulatory filings, including but not limited to:

FOCUS Reports, Supplemental Liquidity Schedules (SLS), FR 2004

Audited financials supplemental regulatory information and footnotes

SIPC filings

FINRA and SEC ad-hoc requests

Ensure consistency between regulatory filings, US GAAP financial statements, and internal management reporting.

Manage regulatory reporting calendars, controls, and documentation to ensure timeliness and accuracy.

Audit & Regulatory Interaction

Serve as primary point of contact for external auditors on regulatory capital, customer protection, and related audit matters.

Lead responses to regulatory examinations, inquiries, and deficiency letters from SEC, FINRA, and other regulators.

Draft formal regulatory correspondence, interpretive memos, and responses to audit findings, including remediation plans where required.

Controls, Governance & Risk Management

Design, implement, and maintain a robust control framework over regulatory reporting, including documentation of key controls, review procedures, and evidence standards.

Partner with Compliance and Operations to support internal control assessments, issue management, and remediation of findings.

Lead or support look-back analyses, root-cause assessments, and process improvements related to regulatory reporting.

Qualifications

Bachelor’s degree in Accounting, Finance, or related field.

10+ years of experience in broker-dealer regulatory reporting, capital management, or financial control roles.

Hands-on expertise with SEC Rules 15c3-1 and 15c3-3.

Extensive experience preparing and reviewing FOCUS reports and other SEC/FINRA regulatory filings.

Strong understanding of broker-dealer operations, settlement processes, margin, financing transactions (repo, stock borrow/loan), and customer account structures.

Proven experience interacting with external auditors and regulators.

The Director, Specialized Finance Group Manager, TDS manages a team of Finance professionals and related processes and activities for a specialized area, operational unit, centre of expertise or finance discipline.

Depth & Scope:

Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required

Oversee and lead a large and/or highly complex and diverse reporting function for an area of significant risk, complexity or scope while growing talent, developing skills and capabilities to achieve career goals, support project / initiative success and achieve business results

Provides coaching, mentorship and guidance to practitioners, business, executives within area of expertise

Manages and oversees the overall discipline and strategy for the respective areas while aligning to the enterprise best practices

Strategic partner to leadership team on the management of the portfolio and financials, with deep industry, external / internal, enterprise knowledge, recognizing and anticipating emerging trends and; identifying operational efficiencies and opportunities with other business management / enterprise areas

Facilitates key strategic discussions and provide thought leadership to executive audience (output may include strategic roadmap and/or deliverables/ frameworks/ short to long term goals etc.)

Sets operational team direction and collaborate with others to execute on common goals

Focus on longer-range planning for functional area (e.g. 12 months or greater)

Education & Experience:

Undergraduate degree and/or

10+ years of relevant experience preferred

Accounting or financial designation preferred

People Management experience

Customer Accountabilities:

Develops and maintains good relationships with key business / finance partners and other stakeholders and effectively communicates relevant / meaningful recommendations on a range of specialized finance management issues or related operational processes 

Liaises and effectively interacts with internal / external auditors / regulators where applicable and ensures appropriate action is taken where required

Acts as subject matter expert for own area and provides guidance/ advice and recommendations to support dealings with internal / external partners 

Contributes to the analysis, due diligence and execution of potential business restructuring, acquisitions, joint ventures and /or divestitures within own area of responsibility and ensures appropriate Finance areas are involved where necessary  

Develops and/or assesses significant business cases / new initiatives applying expertise and ensuring criteria for own area are met (e.g., taxation, accounting practices, forecasted rates of return, evaluate outcomes, test assumptions, interface with others for appropriate input, identify benchmarks)

Manages / coordinates client requests for finance support and/or reports, ensuring that solutions balance and address business partner needs with overall Finance capabilities. Participates on internal / external committees as appropriate to provide advice / counsel to business / finance partners and/or represent TD's interests

Works closely with key business leaders to achieve business objectives, ensuring the optimal use of resources and leverages TD’s operating model to maximize efficiency, effectiveness and scale
