Job Title: Corporate Paralegal
Job Description
We are seeking a meticulous and proactive Corporate Paralegal Specialist to join our team. This role is ideal for someone who is eager to learn and grow in a dynamic environment, with the opportunity to make the role their own. You will be responsible for supporting various legal functions, ensuring compliance with corporate governance requirements, and maintaining organized records for transactions.
Responsibilities
+ Organize files for each transaction, ensuring all documents are properly filed and easily accessible.
+ Assist in the preparation and filing of SEC reports, including Forms 10-K, 10-Q, and 8-K.
+ Maintain corporate records and ensure compliance with corporate governance requirements.
+ Support in the preparation and coordination of board and committee meetings, including drafting agendas, resolutions, and minutes.
+ Conduct legal research and provide support on various corporate and securities law matters.
+ Liaise with external counsel and regulatory agencies as needed.
+ Stay current on real estate law and procedures to provide accurate and up-to-date advice.
+ Use strong organizational skills to manage multiple tasks simultaneously, ensuring each is handled efficiently and accurately.
+ Maintain the litigation tracking system and communication to executives.
+ Review and assess legal invoices.
Essential Skills
+ Legal administrative and paralegal skills.
+ Proficiency in Microsoft Office Suite.
+ Strong knowledge of corporate governance and securities law.
+ Exceptional attention to detail and strong organizational skills.
+ Excellent communication skills, both written and verbal.
+ Proficiency in file management.
+ Demonstrated ability to conduct thorough research and analysis.
+ High level of professionalism and discretion when dealing with confidential information.
+ Ability to multi-task and work on several projects across multiple departments.
+ Ability to build internal and external relationships.
Additional Skills & Qualifications
+ Bachelor's degree in paralegal, real estate, or related field required.
+ Minimum 3 years of experience as a corporate paralegal, preferably in a public company or law firm.
+ A proactive approach to problem-solving and the ability to work independently.

Pay and Benefits
The pay range for this position is $28.84 - $33.65/hr.
