Commercial In House Counsel

**What's the role?**
As a Commercial In House Counsel you will work directly with clients, vendors, business partners and others to review and support the negotiation of a wide range of commercial agreements, including B2B, Real Estate among others. You’ll also develop and implement innovative ways to scale commercial legal processes. This role will support an extremely fast-moving business with deadlines while providing diligent and detailed work product and general legal advice and support on an array of legal issues.
**How you can add value** ?
+ Draft, review, negotiate and approve commercial, programming, real estate, and subscriber contracts from a legal standpoint as per the Company’s Contract Execution Policy, LLA’s golden rules of commercial contracting and SOX contracting controls.
+ Oversee compliance regarding new products and services.
+ Revise B2C and B2B marketing campaigns and advertising, and sweepstakes rules.
+ Address and manage from a legal perspective the intellectual property needs of the business including drafting, negotiating, interpreting, and advising the business partners on IP-related agreements, and advising and counseling clients on various matters involving copyrights, trademarks, and trade secrets.
+ Provide legal advice and support on an array of legal issues.
+ Prepare legal briefs, memorandums and other legal documents on topics related to issues that impact the company’s business, with thorough analysis and recommendations on mitigating activities that can be taken to prevent risks and legal action against the company.
+ Collaborate and prepare legal risks assessments on LCPR’s and LLA’s commercial central initiatives.
+ Answer questions about our commercial standards, our product, our privacy practices, and our operational norms and policies, among others.
+ Administer oaths, take affidavits, declarations, or depositions from witnesses, acknowledge, and attest signatures, and certify copies, and other notary public duties and responsibilities.
+ Draft and prepare corporate documents such as minutes, written consents, corporate resolutions, among other corporate documents.
+ Maintain relationship with outside counsel and insurance companies.
+ Demonstrate and ensure compliance with the Customer First Philosophy.
+ Demonstrate and ensure compliance with all Liberty Puerto Rico and Liberty Latin America’s policies and procedures including the Business Code of Conduct.
+ Other functions may be assigned.
**Educations and/or experience:**
Bachelor's degree and Juris Doctor from an accredited law school and be admitted to the practice of law within the Commonwealth of Puerto Rico and, preferably, the United States Federal Court for the District of Puerto Rico. Must be a licensed notary public in the Commonwealth of Puero Rico.
Minimum of two years of demonstrated success in a commercial legal role.

+ Strong ability and inclination to collaborate with others and strong organization and leadership skills that reflect ability to perform and prioritize multiple tasks seamlessly with excellent attention to detail.
+ Capable of working in a fast-paced dynamic work environment with efficient prioritization, client interaction, responsiveness, and focus (especially during periods of sustained pressure and often under tight deadlines).
+ Very strong interpersonal skills and the ability to build relationships with partners, including staff, external partners, and suppliers.
+ Breadth and depth of technical legal knowledge, excellent business judgment and strong analytical skills.
+ High standards of ethics and confidentiality to handle critical information efficiently.
+ Demonstrated proactive approaches to problem-solving with strong decision-making capability.
+ Forward looking problem solver, who actively seeks opportunities and proposes solutions.
+ Proven ability to handle confidential information with discretion, be adaptable to various competing demands, and demonstrate the highest level of customer/client service and response.
+ Computer Knowledge (Microsoft Office).
+ Fully Bilingual (Spanish and English).
