Responsibilities The Associate General Counsel will serve as a trusted legal advisor supporting the company’s mergers and acquisitions (M&A) initiatives. This role offers flexibility to work from any of our office locations or remotely. The ideal candidate will bring 7+ years of experience in healthcare transactions, though strong experience in general M&A will also be considered. This individual will demonstrate sound judgment, strategic thinking, and the ability to partner effectively with the Corporate Development team at SCA Health, reporting directly to the Vice President, Deputy General Counsel for M&A transactions. Key Responsibilities: + Lead and oversee M&A transactions involving ambulatory surgery centers, surgical hospitals, and physician practices. + Draft, review, and/or negotiate transaction documents with internal and external support. + Provide strategic and tactical legal guidance to the Corporate Development team on potential transactions and growth initiatives. + Collaborate cross-functionally with internal teams, including Legal, Corporate Development, Compliance, Diligence, Integrations, Operations, and Finance, to ensure seamless execution. + Identify and mitigate legal, compliance, and operational risks during due diligence and integration phases. + Manage outside counsel relationships, ensuring high-quality work product and cost efficiency. + Prioritize and manage a high-volume workflow, meeting deadlines in a fast-paced environment. + Contribute to process improvements and best practices for transaction execution and integration. Qualifications + Juris Doctor (JD) from an accredited law school with strong academic credentials. + Active license to practice law in at least one U.S. state. + 7+ years of experience as a transactional attorney; healthcare experience strongly preferred. + Experience drafting and negotiating transaction documents, including purchase agreements and operating agreements. + Proven ability to lead multiple projects and transactions in a dynamic, evolving environment. + Strong analytical skills with the ability to balance legal and business risks and deliver practical solutions. + Exceptional communication and negotiation skills, influencing stakeholders and managing adverse parties effectively. + Demonstrated business acumen, sound judgment, and adaptability to meet organizational needs. + A collaborative team player who thrives in a friendly, high-performance, growth-oriented culture. + Ability to mentor junior attorneys or team members and contribute to departmental development.
